It would be wonderful if the independent shareholders were paying attention to the Chairman's costly lapses of sound judgement and ignorance of basic business protocols.
She should not be both Chairman and CEO.
The President and CEO report to the Chairman, who reports to the Board.
Without proper reporting structures there are few checks and balances.

The CEO (PK) seeks permission from the Chairman (PK) to squander shareholder equity, receives it then does exaclty that - squanders it. The Chairman explains to the Board that the CEO's plans seemed like a good idea at the time, and an immediate decision was taken to avoid losing an opportunity. Cie la vie!

If there was another CEO who created this mess, the Chairman and Board would have fired him or her by now.
Did everyone read PK's compensation package should the Board dare to fire her?It will not happen, never, not a chance.
They caved in and recommended to shareholders that PK is the best suited to manage CMM in these difficult times. Who might we ask, got the company into this crisis situation? Whoever voted for her needs to give their heads a shake!

The saddest part about all this is that she could resign right now and things would immediately improve for Century Mining shareholders, and she clearly knows that. She could leave the MRI and Fortis negotiations (mainly DD left anyway) to the capable Campoy or Ambrose or to the new senior guy they recently hired (who actually seems to specialize with all that anyway). Sadly, even after watching her shareholders suffer so immensely (and relentlessly) over the years, even after watching shareholder (share price) value get almost completely wiped out (from $1.89 to $.06 in 2 years), even after promising to protect her shareholders this time around (but instead she watched them get slaughtered alive), she still refuses to make even this smallest of gestures.

It is clear to me that Margaret Kent is a heartless person, and one that is only capable of thinking about herself.

I mentioned a while back that a true leader would demonstrate qualities of understanding, compassion, integrity and leadership. I have not seen any of these qualities from this person. I can only see constant acts of selfishness.

I also wonder how the BOD members could live with themselves, knowing what they have allowed to happen. And, even after a decrease in share price from $1.89 to $.06, they still refuse to make fundamental senior management changes within the company (they seem to turn a "blind eye" on a consistent basis). Aren't they the ones that are responsible for looking out for the best interests of shareholders???

Feduciary:

'A fiduciary is someone who has undertaken to act for and on behalf of another in a particular matter in circumstances which give rise to a relationship of trust and confidence.'

Fiduciary Duty:

"A fiduciary duty is the highest standard of care at either equity or law. A fiduciary is expected to be extremely loyal to the person to whom he owes the duty (the "principal"): he must not put his personal interests before the duty, and must not profit from his position as a fiduciary, unless the principal consents. The fiduciary relationship is highlighted by good faith, loyalty, and trust, and the word itself originally comes from the Latin fides, meaning faith, and fiducia."

Profile of the Sociopath

This website summarizes some of the common features of descriptions of the behavior of sociopaths.

Glibness and Superficial Charm

Manipulative and Conning
They never recognize the rights of others and see their self-serving behaviors as permissible. They appear to be charming, yet are covertly hostile and domineering, seeing their victim as merely an instrument to be used. They may dominate and humiliate their victims.

Grandiose Sense of Self
Feels entitled to certain things as "their right."

Pathological Lying
Has no problem lying coolly and easily and it is almost impossible for them to be truthful on a consistent basis. Can create, and get caught up in, a complex belief about their own powers and abilities. Extremely convincing and even able to pass lie detector tests.

Lack of Remorse, Shame or Guilt
A deep seated rage, which is split off and repressed, is at their core. Does not see others around them as people, but only as targets and opportunities. Instead of friends, they have victims and accomplices who end up as victims. The end always justifies the means and they let nothing stand in their way.

Shallow Emotions
When they show what seems to be warmth, joy, love and compassion it is more feigned than experienced and serves an ulterior motive. Outraged by insignificant matters, yet remaining unmoved and cold by what would upset a normal person. Since they are not genuine, neither are their promises.

Incapacity for Love

Need for Stimulation
Living on the edge. Verbal outbursts and physical punishments are normal. Promiscuity and gambling are common.

Callousness/Lack of Empathy
Unable to empathize with the pain of their victims, having only contempt for others' feelings of distress and readily taking advantage of them.

Poor Behavioral Controls/Impulsive Nature
Rage and abuse, alternating with small expressions of love and approval produce an addictive cycle for abuser and abused, as well as creating hopelessness in the victim. Believe they are all-powerful, all-knowing, entitled to every wish, no sense of personal boundaries, no concern for their impact on others.

Early Behavior Problems/Juvenile Delinquency
Usually has a history of behavioral and academic difficulties, yet "gets by" by conning others. Problems in making and keeping friends; aberrant behaviors such as cruelty to people or animals, stealing, etc.

Irresponsibility/Unreliability
Not concerned about wrecking others' lives and dreams. Oblivious or indifferent to the devastation they cause. Does not accept blame themselves, but blames others, even for acts they obviously committed.

Promiscuous Sexual Behavior/Infidelity
Promiscuity, child sexual abuse, rape and sexual acting out of all sorts.

Lack of Realistic Life Plan/Parasitic Lifestyle
Tends to move around a lot or makes all encompassing promises for the future, poor work ethic but exploits others effectively.

Criminal or Entrepreneurial Versatility
Changes their image as needed to avoid prosecution. Changes life story readily.

-----------------------------------

Other Related Qualities:

Contemptuous of those who seek to understand them
Does not perceive that anything is wrong with them
Authoritarian
Secretive
Paranoid
Only rarely in difficulty with the law, but seeks out situations where their tyrannical behavior will be tolerated, condoned, or admired
Conventional appearance
Goal of enslavement of their victim(s)
Exercises despotic control over every aspect of the victim's life
Has an emotional need to justify their crimes and therefore needs their victim's affirmation (respect, gratitude and love)
Ultimate goal is the creation of a willing victim
Incapable of real human attachment to another
Unable to feel remorse or guilt
Extreme narcissism and grandiose
May state readily that their goal is to rule the world

Hey Optimusprime, a lot of that sure fits PK's profile.

If the BoD hired a CEO 2 years ago with the express purpose of destroying the company, they couldn't have made a better choice than our PK.

Wega is keeping its foot firmly planted on CMM's throat today with RBC having sold over 1 million shares so far. We are now trading at a cash flow multiple of less than 1 based only on cash flow from San Juan in 2009. That puts 0 value on the Sigma-Lamaque complex with its $100 million of infrastructure and almost 5 million ounces of gold. Put another way, Wega is selling its share of CMM's gold for $2/ounce. Where can you buy gold for $2/ounce?

If anyone other than PK was running this operation, these 7-cents shares would be snapped up in a heartbeat.

Hi All,

The new guy CMM has brought on board to help with the "technical" stuff is Timothy Gooch. Former CEO of View Resources (austraila) We should all demand that he be replacing PK immediately.

Btw. If we are trying to keep costs down I reccommend that they start by laying off Brent Jones. Obviously there's nothing for him to promote and no need to keep paying him. Also, If PK cared at all about shareholders, she would not be taking another paycheck until the financing is approved and defering lease payments on the office in Blaine. (seeing as she owns the building).

No one is suffering except us little guys.

Hi Carib,

If you don't mind, (once you get the chance) could you post "today's trades". It will be interesting to see how many of 5.3M shares belonged to RBC/Wega, and also if there was a primary buyer. It would also be good to see if there were any crosses.

Thanks,
